1. Agreement to These Terms

These Terms of Service form a binding agreement between you and HeFei ZhengGa E-Commerce Co., Ltd. They apply to your use of the website at https://www.zhenggaecom.autos and to any service you book through the storefront intake desk. By browsing the website, sending a message to the desk, booking an intake sheet bay or accepting a shelf plan, you confirm that you have read and accepted these terms.

If you are entering into this agreement on behalf of an organisation, you confirm that you have the authority to bind that organisation to these terms. If you do not have that authority, or if you do not accept these terms, you must not use the services.

The company operating the desk is HeFei ZhengGa E-Commerce Co., Ltd., with its operating address at Room 1306, JingTai Building, Junction of Dangtu Road and Linquan Road, Yaohai District, HeFei City - 230000, China (CN). The contact email address is info@zhenggaecom.autos and the contact telephone number is +13187142262.

2. Definitions

In these terms, the following words carry the meanings described below. The definitions are written plainly so that both sides read them the same way.

3. Eligibility and Authority

The Desk serves organisations and adult professionals. You must have the legal capacity to enter into a contract to use the services. If you are a representative of an organisation, you must be authorised to act for that organisation, and the organisation agrees to be bound by these terms through your actions.

The Desk may ask for confirmation of authority before writing an Intake Sheet. This may include a request for a signed note from an authorised signatory or a short call to a number published by the organisation. The Desk uses this step because a shelf plan committed without authority wastes both sides time.

4. The Desk Services

The Desk provides six services, each described on the services page. These are intake sheet bays, shelf plan runs, order note desks, restock windows, listing review rounds and pack sittings. Each service ends with a written record that the Client keeps.

The Desk provides these services in the field of computer systems design and related professional services. The services support the design, integration and handing over of computer systems, but they do not include the supply of hardware or software licences unless a separate written arrangement says otherwise.

The Desk may update the description of a service from time to time as the shop office improves its routine. A change that affects an active engagement will be explained to the Client in writing before it takes effect.

5. Booking and Intake

A booking begins when the Client contacts the Desk and a time is confirmed for an intake sheet bay. The Desk will confirm the booking in writing by email from info@zhenggaecom.autos and will describe what the Client should bring to the session.

No engagement begins until an Intake Sheet is complete and approved. Approval means that the Client has read the sheet line by line and confirmed that it describes the brief. The Desk keeps the approved sheet as the reference point for the whole engagement, and it will not open a Shelf Plan before approval has been given.

If the Client does not confirm a booking and does not attend the session, the Desk may release the time slot to other clients. The Desk will offer a replacement slot where its calendar allows, but it does not guarantee that the same time will be available again.

6. Client Duties

The Client agrees to give the Desk accurate and timely information. This includes the systems in scope, the data that must move between them, the constraints that cannot be broken and the names of the people who approve changes. The Desk relies on this information to write the Intake Sheet and to plan the shelves, and a sheet built on inaccurate information will produce a build that fits the wrong brief.

The Client is responsible for the legality of the information it sends to the Desk and for ensuring that the systems it asks the Desk to integrate are lawfully licensed. The Desk will stop work if it has good reason to believe that a brief would require unlawful activity.

7. Our Duties

The Desk agrees to carry out each service with reasonable skill and care and in line with the description on the services page. The Desk will keep the Intake Sheet, Shelf Plan, Order Notes and Pack Sheet together so that the Client can trace every decision, and it will answer questions about an engagement in plain language.

The Desk will tell the Client promptly if it discovers that a promise in the Shelf Plan cannot be met as written. The Desk will then propose an Order Note that adjusts the plan, and it will not quietly change the scope without telling the Client. This honesty is a core part of what the Client is paying for.

The Desk will keep the Client information confidential as described in a later section and will follow the Privacy Policy available on the Website.

8. Fees and Payment

Fees for each service are quoted in writing before a booking is confirmed. A quote describes what is included, what is excluded and when payment is due. The Desk does not charge for a quote and does not begin chargeable work until the Client has accepted the quote in writing.

Unless a quote says otherwise, payment for an Intake Sheet bay and a Shelf Plan run is due before the session takes place, and payment for later services is due as described in the quote. Where a Client fails to pay on time, the Desk may pause the engagement until payment is received and may recover reasonable costs of chasing a late payment.

Additional work that falls outside an agreed quote is quoted separately and requires written acceptance before it begins. The Desk will not surprise a Client with an unexpected charge, and the Client should not expect extra work to be absorbed into an existing quote.

9. Schedules and Delays

The Desk sets schedules only after it has checked the Restock Windows and the calendar of the shop office. A date the Desk gives is therefore a date it expects to hold. Even so, schedules can move when the Client is late with information, when a supplier fails to deliver a needed component or when a system behaves in a way that neither side expected.

Where a delay is caused by the Desk, the Desk will explain the cause, propose a new date and make reasonable efforts to limit the impact on the Client. Where a delay is caused by the Client or by a third party outside the control of the Desk, the Desk will move the schedule accordingly and may charge for time that cannot be reused.

The Desk does not accept penalties for missed dates that are not set out in a signed quote. Clients who need a contractual service level should discuss it with the Desk before the engagement begins so that any such term is written down and agreed by both sides.

10. Changes and Order Notes

A change to an engagement can be requested by the Client or proposed by the Desk. Every change is recorded on an Order Note, clipped to the rail and referenced back to the relevant shelf. The note records what changed, why it changed, who approved it and what effect it has on the schedule and the fee.

A change that affects scope, fee or schedule requires written approval from the Client before it is carried out. The Desk keeps these approvals together with the Order Note so that the history of an engagement remains clear long after the build has finished.

A minor change that does not affect scope, fee or schedule may be recorded and carried out by the Desk without separate approval, but it will still appear on the notes so that the record stays complete.

11. Acceptance and Review

Each shelf is reviewed at the end of the work through a Listing Review. The review checks delivered items against the Intake Sheet line by line, records the result and stamps the listing. A shelf that passes all review rounds is accepted, and the stamped listing becomes part of the pack.

A Client who believes that a delivered item does not match the Intake Sheet should raise the point at the review session or in writing within a reasonable period after the pack sitting. The Desk will investigate and, where the point is valid, will correct the work or agree an Order Note with the Client.

A Pack Sitting ends the engagement for the shelves covered by that pack. The signed Pack Sheet records what was handed over and when, and it is the formal record that both sides can rely on if a question arises later.

12. Intellectual Property

The Website, its text, its design and the desk documents that the Desk creates remain the property of HeFei ZhengGa E-Commerce Co., Ltd. unless a quote says otherwise. The Client receives the right to use the documents that are handed over in the Pack Sitting for its own internal purposes.

Where a build includes custom material that the Client has commissioned, the quote will describe how that material may be used. Custom material created for the Client is licensed to the Client for its own use, but any general technique, method or template that the Desk used to create it remains available to the Desk for other work.

The Client must not copy, resell or redistribute material that the Desk has supplied unless it has written permission. This includes the Document templates and any internal notes that were not included in the pack.

13. Confidentiality

Both sides agree to keep confidential the information that the other side designates as confidential. For the Client this may include system details, credential structures and internal process notes. For the Desk this may include pricing methods, internal templates and the working notes used to plan a Shelf.

Confidentiality obligations do not apply to information that is already public, information that a party is required to disclose by law or information that a party develops independently without using the confidential information of the other side. When disclosure is required by law, the disclosing party will tell the other side in advance where it is permitted to do so.

The Desk keeps Client information in the restricted files described in the Privacy Policy and gives access only to staff who need it for the engagement. The obligations in this section survive the end of the engagement.

14. Third Party Components

Many builds rely on hardware, software or network services supplied by other companies. The Desk will identify the components that a build depends on and will explain the role of each one in the Shelf Plan. The Desk is not the maker of those components and does not control their availability, licensing or behaviour.

A Client who agrees to use a third party component accepts the terms of that component provider. The Desk will not copy or modify a component in a way that breaches its licence, and it will not ask a Client to do so. Where a component fails during a build, the Desk will work with the Client and the supplier to find a solution, but any warranty on that component comes from the supplier.

15. Warranties and Disclaimers

The Desk warrants that it will carry out each service with reasonable skill and care and in line with the description on the services page. That is the core promise on which the Desk stands. The Desk does not warrant that a systems build will be free from every defect, that a client will achieve any particular profit or that a third party system will behave as documented.

To the extent permitted by law, the Website is provided on an as is basis, without further warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose or non infringement. Nothing in these terms limits a warranty that the law does not allow to be limited.

The Desk will always try to fix a genuine problem with its own service. If you believe that the Desk has failed to meet the promise in this section, tell the desk promptly so that the issue can be addressed.

16. Limitation of Liability

To the extent permitted by law, the total liability of the Company to the Client for any claim arising from an engagement is limited to the fees paid for the service that gave rise to the claim. This limit does not apply to liability for death or personal injury caused by negligence, for fraud or for any other liability that the law does not allow to be limited.

Neither side is liable for an indirect or consequential loss, for a loss of profit, a loss of business opportunity or a loss of data, except where that loss is caused by the deliberate wrongdoing or gross negligence of the liable side. Both sides agree that this allocation of risk is reasonable given the scale of the services the Desk provides.

A claim must be raised within a reasonable period after the Client becomes aware of the facts that give rise to it. Waiting until the records have faded makes a fair resolution harder for both sides.

17. Indemnity

The Client agrees to indemnify the Company against any claim, loss or expense that arises from information the Client supplied that was inaccurate or unlawfully shared, from the Client breach of these terms or from the Client use of a system in a way that infringes the rights of another party.

The Desk will tell the Client promptly about any claim that could trigger this indemnity and will allow the Client to take part in the defence where the law allows. The Desk will not settle a claim in a way that admits liability on the part of the Client without the Client consent.

18. Suspension and Termination

Either side may end an engagement by giving written notice to the other side. Where the Client ends an engagement, the Client remains liable for fees for work already carried out and for material already ordered. Where the Desk ends an engagement for a reason other than the Client breach, the Desk will refund any fees for work that it has not carried out.

The Desk may suspend an engagement without notice if it has good reason to believe that continuing would be unlawful, would place a person at risk or would expose the Desk to a serious security problem. The Desk will tell the Client why the engagement has been suspended as soon as it can safely do so.

The Desk may also suspend or terminate access to the Website for a visitor who misuses the site, attempts to interfere with its security or uses it to send unlawful material.

19. Acceptable Website Use

The Website is provided so that visitors can learn about the services and contact the Desk. You agree to use the Website lawfully and in a way that does not damage it or interfere with other visitors.

The Desk may block traffic that appears to breach this section and may report a serious attempt to interfere with the Website to the appropriate authority.

20. Governing Law and Disputes

These terms and any dispute connected with them are governed by the laws that apply in the place where the Company is established, without regard to conflict of law rules. Both sides will first attempt to resolve a dispute by talking directly and in good faith, because a written sheet and a clear desk usually solve a problem faster than a formal process.

If direct talks do not resolve a dispute, either side may bring the matter to a court of competent jurisdiction where the Company is established, unless a different forum is required by a law that protects a consumer. Before any formal step, the Desk will provide the records that relate to the dispute so that the discussion starts from the facts rather than from memory.

21. General Provisions

If any part of these terms is found to be unenforceable, that part is removed and the rest of the terms continue to apply. A failure by the Company to enforce a right does not mean that the right has been waived. A waiver is effective only when it is given in writing.

The Client may not transfer an engagement to another party without the written consent of the Desk. The Desk may transfer an engagement within the Company or to a successor organisation as described in the Privacy Policy, and it will tell the Client if that happens.

These terms, together with a signed quote and any Pack Sheet, form the entire agreement between the Client and the Company for the services described. A statement made in conversation does not change these terms unless it is written into an Order Note and approved by both sides.

The Desk may revise these terms from time to time. The version in force at the time a booking is confirmed applies to that engagement. A revision posted later applies to new engagements only, unless the Client agrees otherwise.

22. How to Contact Us

Questions about these terms can be sent to the Desk at any time. The Desk will read every message and answer it during shop office hours, and it will explain any part of these terms in plainer language if that helps.

Please include the name used on the Intake Sheet and the date of the relevant session so that the Desk can locate the records quickly. A clear first message saves a long exchange, which is the same plainness the Desk tries to bring to every part of its work.
